Acceptance of Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and AguiCorp, LLC, a limited liability company ("AguiCorp," "we," "us," "our"), governing your access to and use of the website located at www.RealLoansDirect.com and all associated subdomains, mobile applications, tools, calculators, content, and services (collectively, the "Platform").

BY ACCESSING OR USING THE PLATFORM IN ANY WAY, INCLUDING BROWSING PAGES, SUBMITTING A FORM, CLICKING ANY LINK, OR USING ANY TOOL OR CALCULATOR, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED HEREIN BY REFERENCE, INCLUDING OUR PRIVACY POLICY.

If you do not agree to these Terms, you must immediately discontinue use of the Platform. If you are accessing the Platform on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms.

About RealLoansDirect — Nature of Service

RealLoansDirect.com is owned and operated by AguiCorp, LLC. The Platform operates exclusively as a financial directory and lead referral service. We aggregate information about financial products and service providers — including mortgage lenders, auto loan lenders, personal loan companies, business lenders, student loan servicers, credit card issuers, and related financial service providers (collectively, "Third-Party Financial Providers") — and display that information to consumers researching their options.

2.1 What We Are

• A financial services directory and consumer comparison platform
• A lead generation and referral service that connects consumers with Third-Party Financial Providers
• A publisher of educational financial content, rate information, and product comparisons
• An operator of financial calculators and estimation tools for informational purposes only

2.2 What We Are Not

• A bank, credit union, savings institution, or depository institution
• A mortgage lender, mortgage broker, or mortgage servicer
• A consumer lender, commercial lender, or direct lender of any kind
• A credit card issuer or credit card company
• A registered investment adviser, broker-dealer, or financial planner
• A licensed insurance producer or insurance company
• A credit repair organization or credit counseling agency
• A student loan servicer or guaranty agency

AguiCorp, LLC does not review, approve, or deny any loan or credit application. We have no involvement in credit decisions made by any Third-Party Financial Provider listed on or reached through the Platform. We are not responsible for any product or service offered by any Third-Party Financial Provider.

Definitions

As used in these Terms, the following terms shall have the meanings set forth below:

Eligibility

To access and use the Platform, you must meet the following eligibility requirements:

• You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher)
• You must be a legal resident or citizen of the United States of America
• You must have the legal capacity to enter into binding contracts under applicable law
• You must not be prohibited from receiving services under the laws of the United States or any applicable jurisdiction
• You must not have been previously banned or removed from the Platform by AguiCorp, LLC

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements. AguiCorp, LLC reserves the right to deny access to or terminate the account of any User who does not satisfy these requirements or who provides false information regarding eligibility.

Referral Service — How It Works

The core function of the Platform is to connect Users with Third-Party Financial Providers through a referral process. By understanding how this process works, you can make informed decisions about using the Platform.

5.1 The Referral Process

When you complete and submit any form on the Platform requesting loan quotes, rate comparisons, credit card offers, or other financial product information, you authorize AguiCorp, LLC to transmit your submitted information to one or more Third-Party Financial Providers in our network. This constitutes a "Referral."

5.2 User Consent to Referral

By submitting any form or clicking any "Check My Rate," "Get Offers," "Apply Now," "Compare Lenders," or similar call-to-action button, you expressly consent to:

• The collection and transmission of your personally identifiable information to Third-Party Financial Providers
• Being contacted by one or more Third-Party Financial Providers via phone, email, or text message, including by automated means
• Third-Party Financial Providers performing soft credit inquiries to generate pre-qualified offers
• Receiving marketing communications from Third-Party Financial Providers unless and until you opt out directly with them

5.3 No Guarantee of Offers

AguiCorp, LLC does not guarantee that any User will receive any offer, pre-qualification, approval, or credit from any Third-Party Financial Provider as a result of using the Platform. The receipt and terms of any financial product offer are entirely at the discretion of Third-Party Financial Providers, based on their own underwriting criteria and applicable law.

5.4 AguiCorp's Role is Limited to Referral

Once a User's information is transmitted to a Third-Party Financial Provider, AguiCorp, LLC's role in that transaction is complete. AguiCorp, LLC has no further involvement in, responsibility for, or control over any subsequent communication, application, approval, denial, funding, servicing, or dispute between the User and any Third-Party Financial Provider.

5.5 Number of Referrals

A single form submission may result in your information being shared with multiple Third-Party Financial Providers simultaneously. You may receive multiple contacts from different lenders or financial service companies as a result of a single submission.

Lender Directory

The Platform includes a directory of financial service providers for informational reference purposes. The following terms govern your use of directory information:

6.1 Directory Listings

Inclusion of any lender, bank, credit union, or financial service provider in the Platform's directory does not constitute an endorsement, recommendation, or guarantee by AguiCorp, LLC. Directory information is compiled from publicly available sources and direct data feeds from Advertisers, and is provided for consumer convenience only.

6.2 Accuracy of Directory Information

AguiCorp, LLC makes reasonable efforts to maintain accurate directory information, including lender names, license numbers, contact information, and general product descriptions. However, we do not warrant the completeness, accuracy, or currency of any directory listing. Users should independently verify any information before making a financial decision.

6.3 NMLS and Licensing

Where applicable, the Platform may display Nationwide Multistate Licensing System (NMLS) identification numbers for mortgage-related entities. Display of an NMLS number does not constitute verification of current licensure. Users should verify licensing status through the NMLS Consumer Access portal at nmlsconsumeraccess.org.

6.4 Paid Placement

The order and prominence of lender listings within the directory and throughout the Platform may be influenced by commercial relationships, including paid advertising agreements between AguiCorp, LLC and Advertisers. Paid placements are disclosed as "Sponsored" or "Advertisement" where required by applicable law and FTC guidance. Not all listings are paid placements.

No Financial, Legal, or Tax Advice

7.1 No Fiduciary Relationship

Your use of the Platform does not create any fiduciary, advisory, agency, or professional relationship between you and AguiCorp, LLC. AguiCorp, LLC owes no duty of care to recommend specific financial products or to ensure that any product is suitable for your individual circumstances.

7.2 Independent Professional Advice Recommended

Before making any financial decision — including applying for a loan, opening a line of credit, refinancing an existing loan, or selecting a financial product — AguiCorp, LLC strongly recommends that you:

• Consult a licensed financial advisor or credit counselor
• Consult a licensed attorney if legal questions are involved
• Consult a qualified tax professional regarding potential tax consequences
• Independently compare offers from multiple financial institutions
• Read all loan disclosures, Truth-in-Lending Act (TILA) documents, and terms provided by any lender before signing

7.3 Calculator Outputs Are Estimates Only

All financial calculators, equity estimators, payment estimators, savings calculators, and similar tools on the Platform generate estimates only based on the inputs provided and assumed rate scenarios. Calculator outputs do not represent offers of credit, guaranteed rates, or binding commitments of any kind. Actual loan amounts, rates, payments, and terms will vary based on creditworthiness, lender criteria, and market conditions at the time of application.

Advertiser Relationships & Compensation Disclosure

In compliance with the Federal Trade Commission's guidelines on endorsements and testimonials, and applicable consumer protection laws, AguiCorp, LLC makes the following material disclosures:

8.1 Compensation from Advertisers

AguiCorp, LLC receives compensation from Third-Party Financial Providers ("Advertisers") who appear on the Platform. This compensation may take several forms, including but not limited to:

• Cost-Per-Lead (CPL): Payment for each User inquiry submitted to an Advertiser
• Cost-Per-Click (CPC): Payment for each click-through to an Advertiser's website
• Cost-Per-Acquisition (CPA): Payment upon a User completing a product application or funded loan with an Advertiser
• Display advertising: Fees for banner advertisements and sponsored content placements
• Flat-rate placement fees: Fixed fees for priority directory placement or featured listings

8.2 Effect on Listings and Rankings

Compensation received from Advertisers may affect the placement, order, and prominence of lender listings and product recommendations displayed on the Platform. Products and lenders that pay higher compensation fees may appear more prominently or earlier in listings. However, AguiCorp, LLC maintains editorial independence in its educational content and strives to provide objectively useful comparisons to consumers.

8.3 Sponsored Content Labeling

Paid placements, sponsored content, and advertiser-funded features are labeled "Sponsored," "Advertisement," "Sponsored Lender," or similar disclosures on the Platform. Not all financial products available in the market are represented on the Platform, and the absence of a lender or product from the Platform does not indicate inferior quality.

8.4 No Preferred Lender Relationship

Commercial relationships with Advertisers do not create any endorsement of those Advertisers by AguiCorp, LLC. Users should independently evaluate any financial product and are not obligated to select any Advertiser simply because they appear on the Platform.

User Obligations

By using the Platform, you agree to the following obligations and represent that all of the following are true:

9.1 Accuracy of Information

You agree to provide only accurate, complete, and truthful information when using any form, tool, or calculator on the Platform. You represent that:

• All information you submit is true, accurate, current, and complete
• You are the individual whose information is being submitted (or have authorization to submit on behalf of a business)
• You are not submitting information on behalf of another person without their explicit informed consent
• You understand that submitting false information to obtain financial products may constitute fraud and may violate federal and state law

9.2 One Submission Per Transaction

You agree not to submit duplicate, test, or fraudulent inquiries through the Platform. Each form submission should represent a genuine inquiry for financial products or services.

9.3 Personal Use Only

The Platform is provided for personal, non-commercial use only. You may not use the Platform's content, data, or tools for commercial purposes — including resale, data aggregation, competitive analysis, or building derivative products — without the prior written consent of AguiCorp, LLC.

9.4 Compliance with Applicable Law

You agree to use the Platform only in compliance with all applicable local, state, federal, and international laws, regulations, and rules.

Prohibited Conduct

You agree that you will not engage in any of the following prohibited activities in connection with the Platform:

1. Submit false, misleading, or fraudulent personal or financial information through any Platform form
2. Impersonate any person or entity, or misrepresent your affiliation with any person or entity
3. Use automated scripts, bots, scrapers, crawlers, spiders, or other automated means to access, query, or collect data from the Platform without the express written permission of AguiCorp, LLC
4. Attempt to gain unauthorized access to any portion of the Platform, its servers, databases, or related systems
5. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any portion of the Platform
6. Introduce any virus, worm, malware, ransomware, Trojan horse, or other malicious code to the Platform
7. Interfere with, disrupt, or impose an unreasonable burden on the Platform's infrastructure, including via denial-of-service attacks
8. Use the Platform to harvest email addresses, phone numbers, or other contact information for the purpose of sending unsolicited communications
9. Frame or mirror any portion of the Platform without the prior written consent of AguiCorp, LLC
10. Use the Platform in any manner that could disparage, defame, or harm the reputation of AguiCorp, LLC or any Third-Party Financial Provider
11. Use the Platform to submit inquiries on behalf of third parties without their explicit, documented consent
12. Circumvent, disable, or interfere with any security-related features of the Platform
13. Engage in any activity that violates the Gramm-Leach-Bliley Act, Fair Credit Reporting Act, Equal Credit Opportunity Act, Truth-in-Lending Act, or any other applicable financial regulation

Violation of these prohibitions may result in immediate termination of your access to the Platform, notification to applicable law enforcement authorities, and civil or criminal liability.

Intellectual Property Rights

11.1 Ownership

The Platform and all of its content — including but not limited to text, graphics, logos, icons, images, audio, video, data compilations, rate tables, editorial content, calculator tools, user interface design, and software — are the exclusive intellectual property of AguiCorp, LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

11.2 Limited License to Users

Subject to your full compliance with these Terms, AguiCorp, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your own personal, non-commercial purposes. This license does not include any right to:

• Reproduce, copy, publish, distribute, or publicly display any Platform content
• Create derivative works based on the Platform or its content
• Commercially exploit the Platform or any portion thereof
• Remove or alter any copyright, trademark, or proprietary notices

11.3 Trademarks

"RealLoansDirect," the RealLoansDirect logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AguiCorp, LLC. You may not use such marks without the prior written permission of AguiCorp, LLC. All other third-party marks appearing on the Platform are the property of their respective owners.

11.4 Feedback

Any feedback, suggestions, ideas, or other information you submit to AguiCorp, LLC regarding the Platform shall become the exclusive property of AguiCorp, LLC without any compensation to you. AguiCorp, LLC may use such feedback for any purpose without restriction.

Privacy, Data Collection & Information Sharing

Your privacy is important to AguiCorp, LLC. Our collection, use, and disclosure of personal information in connection with the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

12.1 Information We Collect

When you use the Platform — particularly when you complete a rate request form — we may collect personal and financial information including your name, address, phone number, email address, date of birth, Social Security Number (for credit-related inquiries), income, employment information, loan amounts sought, and other information relevant to matching you with appropriate financial products.

12.2 Information Sharing with Third Parties

AguiCorp, LLC shares your submitted information with Third-Party Financial Providers as described in Section 5 (Referral Service). We may also share information with:

• Service providers who assist in operating the Platform (under data processing agreements)
• Analytics and marketing partners (in aggregated or de-identified form)
• Law enforcement or government authorities when required by law
• Successors in interest in the event of a merger, acquisition, or sale of assets

12.3 Your Rights

Depending on your state of residence, you may have rights to access, correct, delete, or restrict the processing of your personal information. Please review our full Privacy Policy or contact [email protected] to exercise your privacy rights. California residents have additional rights under the California Consumer Privacy Act (CCPA).

12.4 Do Not Sell

AguiCorp, LLC does not "sell" personal information as that term is defined under the CCPA. However, sharing User information with Third-Party Financial Providers for marketing purposes may constitute a "share" under California law. California residents may opt out by visiting our Privacy Policy page or contacting us directly.

Disclaimer of Warranties

To the fullest extent permissible under applicable law, AguiCorp, LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement
• Any warranty that the Platform will be uninterrupted, timely, secure, or error-free
• Any warranty as to the accuracy, completeness, or currency of any rate information, lender data, directory listing, calculator output, or editorial content on the Platform
• Any warranty that defects in the Platform will be corrected
• Any warranty regarding the results that may be obtained from using the Platform
• Any warranty that any Third-Party Financial Provider displayed on the Platform is licensed, reputable, or capable of providing the advertised products or services
• Any warranty that a User will qualify for any particular loan, credit product, rate, or term displayed on the Platform

No advice or information, whether oral or written, obtained by you from AguiCorp, LLC or through the Platform shall create any warranty not expressly made herein. Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

Limitation of Liability — AguiCorp, LLC

14.1 Specific Exclusions

Without limiting the foregoing, AguiCorp, LLC shall not be liable for:

• Any financial loss, loan denial, unfavorable loan terms, or credit damage arising from reliance on Platform content or referrals
• Any loss or damage arising from your dealings with any Third-Party Financial Provider to whom you were referred through the Platform
• Any unauthorized access to or alteration of your personal or financial information
• Any actions or omissions of any Third-Party Financial Provider, including their credit decisions, communications, practices, or errors
• Any inaccuracies in rate data, calculator outputs, or lender information displayed on the Platform
• Any harm arising from identity theft, fraud, or misuse of information you submit through the Platform
• Any damages arising from Platform downtime, data loss, or technical failures
• Any consequential financial decisions made based on Platform content

14.2 Cap on Liability

In no event shall AguiCorp, LLC's total cumulative liability to you for all claims arising out of or relating to your use of the Platform exceed the greater of: (a) the amount you paid to AguiCorp, LLC in the twelve (12) months preceding the claim (which in most cases will be $0, as the Platform is provided free of charge to consumers), or (b) One Hundred U.S. Dollars ($100.00).

14.3 Essential Basis

You acknowledge that the limitations of liability in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and AguiCorp, LLC. AguiCorp, LLC would not provide the Platform without these limitations.

Some jurisdictions do not allow certain limitations on liability; in such jurisdictions, the limitations above apply to the fullest extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless AguiCorp, LLC and its members, managers, officers, employees, agents, affiliates, service providers, licensors, and their respective successors and assigns (collectively, the "AguiCorp Indemnitees") from and against any and all claims, damages, losses, costs, liabilities, and expenses — including reasonable attorneys' fees — arising out of or in any way related to:

1. Your use or misuse of the Platform or any content or services obtained through the Platform
2. Your violation of these Terms or any applicable law or regulation
3. Your submission of false, fraudulent, or misleading information through the Platform
4. Your infringement of any intellectual property or other right of AguiCorp, LLC or any third party
5. Any dispute between you and any Third-Party Financial Provider arising from a referral made through the Platform
6. Any content or information you provide to the Platform

AguiCorp, LLC reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with AguiCorp, LLC's defense of any such claim. You may not settle any claim that imposes obligations on AguiCorp, LLC without our prior written consent.

Third-Party Links, Products & Services

The Platform contains links to third-party websites, products, and services. These links are provided for your convenience and informational purposes only. AguiCorp, LLC does not endorse, sponsor, control, or assume responsibility for any third-party website or any product, service, or content offered by any third party.

When you click a link to a Third-Party Financial Provider's website, you are leaving the Platform and entering a site governed by that third party's own terms of service and privacy policy. AguiCorp, LLC is not responsible for:

• The privacy practices of any third-party website
• The availability, accuracy, or legality of third-party content
• Any financial products, services, or offers made by third-party sites
• Any transactions you enter into with third parties
• Any losses, damages, or harm arising from your use of third-party websites

Your interactions with any Third-Party Financial Provider — including applications, agreements, disclosures, and disputes — are solely between you and that provider. You are solely responsible for reviewing the terms, conditions, and privacy policies of any third-party site you visit.

Rate Information Accuracy & Disclaimers

The Platform displays financial rate information, including Annual Percentage Rates (APRs), interest rates, loan terms, fees, and other financial product details. The following disclaimers apply to all rate and financial product information on the Platform:

• All rates displayed are subject to change without notice and may not reflect current market conditions at the time of your review
• Rates shown are representative examples and may not be the rate you qualify for — actual rates depend on your creditworthiness, income, debt-to-income ratio, loan-to-value ratio, and other factors determined by the lender
• Displayed rates may reflect rates available only to borrowers with excellent credit (typically 720+ FICO score) and may not be available to all applicants
• Rates labeled "from," "as low as," or "starting at" represent the lowest advertised rate available from that lender, which may require autopay discounts, relationship pricing, or other conditions
• APR (Annual Percentage Rate) calculations include interest and certain fees but may not include all costs associated with a loan; the Good Faith Estimate or Loan Estimate provided by the lender will contain complete cost information
• Rate data is provided by Advertisers and third-party data sources; AguiCorp, LLC does not independently verify all rate information
• AguiCorp, LLC is not responsible for any financial decision made based on rate information displayed on the Platform

TCPA Consent & Communications

18.1 TCPA Consent

By submitting any inquiry form on the Platform, you expressly consent — and this consent is not a condition of any purchase — to receive calls, text messages, and prerecorded or artificial voice messages from AguiCorp, LLC and from Third-Party Financial Providers to whom your information is referred, including calls and texts made using an automatic telephone dialing system (ATDS), at the telephone number(s) you provide. This consent is given pursuant to the Telephone Consumer Protection Act (TCPA).

18.2 Email Communications

By providing your email address, you consent to receive email communications from AguiCorp, LLC, including Platform updates, rate alerts, promotional content, and newsletters. You may opt out of marketing emails at any time by clicking "Unsubscribe" in any email or by contacting us at [email protected]. Transactional and service-related emails may still be sent after opt-out.

18.3 Withdrawal of Consent

You may withdraw your consent to communications from AguiCorp, LLC at any time by contacting us. Withdrawal of consent does not retroactively affect the lawfulness of communications made before withdrawal. To stop communications from Third-Party Financial Providers, you must contact those providers directly, as AguiCorp, LLC has no control over their communications.

Dispute Resolution — Arbitration & Class Action Waiver

19.1 Informal Resolution First

Before initiating any formal dispute, you agree to contact AguiCorp, LLC at [email protected] and provide a written description of the dispute and your desired resolution. The parties agree to make good-faith efforts to resolve the dispute informally for a period of thirty (30) days before initiating arbitration.

19.2 Binding Arbitration

If the dispute is not resolved through informal means, any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any services provided by AguiCorp, LLC — including questions about the existence, validity, interpretation, breach, or termination of these Terms — shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org.

• The arbitration shall be conducted in English
• The seat of arbitration shall be the State of Florida, USA
• The arbitrator's award shall be final and binding
• Each party shall bear its own attorneys' fees unless the arbitrator determines an award of fees is warranted

19.3 CLASS ACTION WAIVER

YOU AND AGUICORP, LLC EACH WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

19.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, or to enforce any arbitration award.

19.5 Opt-Out Right

You may opt out of the arbitration agreement by sending written notice to [email protected] within thirty (30) days of first using the Platform. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, disputes will be resolved in court pursuant to Section 20.

Governing Law & Jurisdiction

These Terms and any dispute arising out of or related to the Platform or these Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

For any claims not subject to arbitration (including claims arising from the opt-out of Section 19.5, or claims that cannot be arbitrated as a matter of law), you and AguiCorp, LLC each consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and waive any objection to such jurisdiction or venue, including any objection based on forum non conveniens.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Modifications to Terms and Platform

21.1 Changes to Terms

AguiCorp, LLC reserves the right to modify, update, or revise these Terms at any time in its sole discretion. We will notify you of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification or displaying a prominent notice on the Platform. Your continued use of the Platform after any modifications become effective constitutes your acceptance of the revised Terms.

21.2 Changes to the Platform

AguiCorp, LLC reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time — including features, tools, calculators, lender listings, or the entire Platform — with or without notice and without liability to you or any third party. We may also impose limits on certain features or restrict access to all or part of the Platform.

General Provisions

22.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and AguiCorp, LLC with respect to the Platform and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions.

22.2 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms, and the remaining provisions shall continue in full force and effect.

22.3 Waiver

No failure or delay by AguiCorp, LLC in exercising any right, power, or remedy under these Terms shall operate as a waiver. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

22.4 No Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and AguiCorp, LLC. You are an independent party accessing the Platform on your own behalf.

22.5 Force Majeure

AguiCorp, LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, riots, labor disputes, governmental actions, utility failures, or internet service disruptions.

22.6 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without AguiCorp, LLC's prior written consent. AguiCorp, LLC may freely assign these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.

22.7 Electronic Signatures and Communications

You agree that your use of the Platform, including clicking "I Agree," "Check My Rate," or similar buttons, constitutes your electronic signature and your binding acceptance of these Terms. Electronic records and communications have the same legal effect as written, signed documents pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.

22.8 Headings

Section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.

22.9 Regulatory Compliance Notices

The Platform and its operators comply with, or operate in connection with Third-Party Financial Providers that are subject to, the following laws and regulations, among others: Equal Credit Opportunity Act (ECOA) / Regulation B; Fair Housing Act; Fair Credit Reporting Act (FCRA); Truth-in-Lending Act (TILA) / Regulation Z; Real Estate Settlement Procedures Act (RESPA); Gramm-Leach-Bliley Act (GLBA); Telephone Consumer Protection Act (TCPA); CAN-SPAM Act; California Consumer Privacy Act (CCPA); and applicable state lending and consumer protection laws.
